  1. Contract

1.1. Pricing and Payment Terms

1.1.1. Quotations

All prices indicated exclude carriage and VAT.

1.1.2. Currency

All payments must be made in GBP (£), unless otherwise agreed in writing.

1.1.3. Invoices

Clarke’s Safety Mirrors Ltd will issue an invoice at the time of the order, delivery, or collection, as applicable. Payment terms will be clearly stated on the invoice.

1.1.4. Payment Methods & Terms

30 Days from End of Month

  • This payment option is available only to public organisations and established businesses. This payment term must be pre-approved based on a credit check.
  • A Credit Account Application Form can be requested for account approval.
  • Payment of the purchase price is due and payable by the customer by the end of the month following the date of the invoice sent by Clarke’s Safety Mirrors Ltd. If the customer fails to make any payment on the due date, without limiting any other right or remedy available to Clarke’s Safety Mirrors Ltd, Clarke’s Safety Mirrors Ltd reserves the right to cancel the contract or suspend further deliveries to the customer.

Proforma Payments

 Proforma invoices will be issued for goods or services requiring payment before delivery or production.

  • Goods will not be dispatched or services rendered until full payment has been received.
  • Any delays in payment may result in a delay in delivery times.

 Online eCommerce Sales

  • Payments for online purchases must be made in full at the time of order through the eCommerce platform on our website.
  • Accepted payment methods include credit or debit cards and any other methods available on the eCommerce platform.
  • Orders will only be processed once payment is confirmed.

Phone Payments

  • Customers can make payments over the phone using a valid credit or debit card.
  • The full amount must be paid at the time of the call for the order to be processed.

1.1.5. Payment Security

Clarke’s Safety Mirrors Ltd uses secure methods for processing payments. Customers’ payment details are handled with strict confidentiality and are processed in compliance with applicable data protection laws.

We do not store any credit or debit card information once the payment has been processed.

1.1.6. Late Payment

Failure to make payment within the specified terms may result in interest being charged at 5% per annum above the Bank of England base rate from the due date until payment is received in full.

If payment is not made within the agreed timeframe, Clarke’s Safety Mirrors Ltd reserves the right to:

  • Suspend or cancel further deliveries or services.
  • Cancel any pending orders.
  • Take legal action to recover any outstanding amounts, including any costs incurred in pursuing such action.

1.2. Orders

Clarke’s Safety Mirrors Ltd reserves the right to refuse to accept any order and shall not be obliged to furnish a reason for refusal.

Clarke’s Safety Mirrors Ltd shall sell and the customer shall purchase the goods in accordance with quotation (if accepted by the customer), or the customer’s order (if accepted by Clarke’s Safety Mirrors Ltd), subject in either case to these Terms and Conditions, which shall govern the contract to the exclusion of any other terms subject to which any such quotation is accepted or purported to be accepted, or any such order is made or purported to be made, by the customer.

An order is confirmed upon receipt of a written confirmation from us, either through email or other formal communication.

Any modifications to an order must be requested in writing by the Customer and approved by Clarke’s Safety Mirrors Ltd.

By placing an order or using our services, you confirm that you have read, understood, and agreed to these Terms and Conditions.

1.3. Warranty

Clarke’s Safety Mirrors Ltd warrants that the goods supplied will be free from defects in material and manufacture for a period of 12 months from the date of delivery. Clarke’s Safety Mirrors Ltd is under no liability in respect of any defect arising from fair wear and tear, wilful damage, negligence, abnormal working conditions or misuse. If a breach of this warranty is proved, Clarke’s Safety Mirrors Ltd will replace or repair the product or refund the purchase price, strictly at our discretion. Clarke’s Safety Mirrors Ltd shall have no other liability arising from such a breach in warranty.

Clarkes Safety Mirrors Ltd accepts no liability for product damage caused by environmental conditions. This includes but is not limited to water ingression and reaction to solvent chemicals or paints.

Installation instructions and O&M Manuals should be followed to avoid voiding the warranty. This could prevent customers from accidentally damaging products during installation

1.4. Delivery

Clarke’s Safety Mirrors reserves the right to dispatch goods by whatever means we deem appropriate for the type of product ordered.

Delivery dates are estimates and not guaranteed. Clarke’s Safety Mirrors Ltd is not liable for delays caused by unforeseen circumstances.

Risk in the Goods passes to the Customer upon delivery. Title in the Goods remains with Clarke’s Safety Mirrors Ltd until full payment is received.

Shipping costs, if applicable, will be added to the invoice unless otherwise agreed in writing.

Title in any goods supplied remains vested in Clarke’s Safety Mirrors Ltd until the purchase price, carriage and VAT have been paid in full.

If the customer orders goods that will incur exceptional additional distribution costs due to very large items, with relatively low order value, and/or a delivery address where there is restricted access for the vehicles required to deliver the very large items, and or where manual unloading of very large items is required, Clarke’s Safety Mirrors Ltd reserves the right to charge additional costs required to make the delivery. These costs will be quoted before delivery.

  1. Specification

Any samples, drawings, or illustrations or other specification of goods contained in Clarke’s Safety Mirrors Ltd.’s brochure or website, or otherwise provided to the customer, are produced solely to give the customer a guide in respect of the goods they describe or depict. Clarke’s Safety Mirrors Ltd shall not be liable for any variation of the goods which are produced, including, but not limited to, any variation of the design or structure of the goods.

By virtue of the Trade Descriptions Act 1968, all measurements must be considered approximate.

Every effort has been made to ensure that the information contained in Clarke’s Safety Mirrors Ltd website is accurate. We are continually developing and improving our products and reserve the right to change specifications without notice.

  1. Notification

3.1. Faults

The customer must notify Clarke’s Safety Mirrors Ltd immediately of any discrepancy, shortfall or damage to the goods supplied. Any claim must be made to Clarke’s Safety Mirrors Ltd within 72 hours of delivery or collection. If delivery is not refused and the customer does not notify Clarke’s Safety Mirrors Ltd of a discrepancy, shortfall or damage to the goods supplied within the specified timeframe, the customer shall not be entitled to reject the goods and Clarke’s Safety Mirrors Ltd shall have no liability for such defect or failure, and the customer shall be bound to pay the price as if the goods had been delivered in accordance with the contract.

  1. Returns & Refunds

4.1. Eligibility

4.1.1. Reason for Return

Returns are accepted only for standard sizes, defective, damaged or incorrectly supplied goods. Customized or bespoke products, or goods altered to the customer’s specifications, are non-returnable unless found to be faulty.

4.1.2. Timeframe

Customers must notify Clarke’s Safety Mirrors Ltd of any issues with their order within 14 days of receiving the goods. Returns requested outside this timeframe may not be accepted.

4.1.3. Condition of Goods

All returned goods must be in their original condition, unused, and in the original packaging. Clarke’s Safety Mirrors Ltd reserves the right to refuse returns if the goods show signs of use, damage, or are not in a resalable condition.

4.2. Procedure for Returns

4.2.1. Return Authorization

 

Before returning any item, the customer must contact Clarke’s Safety Mirrors Ltd to obtain authorization. Unauthorized returns will not be accepted.

 

4.2.2 Return Shipping

 

Unless the return is due to a defect or error by Clarke’s Safety Mirrors Ltd, the customer is responsible for the cost of returning the goods. Clarke’s Safety Mirrors Ltd is not responsible for goods lost or damaged in return transit, so it is recommended to use a tracked delivery service.

4.2.3 Inspection

Once the returned goods are received, Clarke’s Safety Mirrors Ltd will inspect the items to verify the condition and reason for return.

4.3. Refunds

4.3.1. Eligibility for Refunds

For bespoke or custom goods, refunds will be processed only if they are found to be defective, damaged, or incorrectly supplied upon inspection.

4.3.2. Refund Method

Refunds will be made via the original payment method used by the customer. Refunds will only be processed after the returned goods have been received and inspected by Clarke’s Safety Mirrors Ltd.

4.3.3. Processing Time

Refunds will be processed within 14 days of receiving the returned goods. Depending on the payment method, it may take additional time for the refund to appear in the customer’s account.

4.3.4. Restocking Fee

For the return of standard goods that are not defective, damaged, or incorrectly supplied, Clarke’s Safety Mirrors Ltd reserves the right to charge a restocking fee. This fee will be deducted from the refund amount.

4.4. Non-Returnable Items

Bespoke or Customized Goods: Products that have been custom-made or altered to the customer’s specifications cannot be returned unless they are faulty.

Used or Installed Goods: Goods that have been installed, used, or show signs of wear and tear are not eligible for return unless a manufacturing defect is present.

4.5. Cancellations

4.5.1. Before Dispatch Cancellations

Orders for standard products can be cancelled before dispatch without charge.

Orders for bespoke or customized products cannot be cancelled once production has commenced.

4.5.2. After Dispatch Cancellations  

If an order is cancelled after the goods have been dispatched, the customer may be responsible for the return shipping costs, unless the goods are defective or incorrectly supplied.

  1. Intellectual Property

All intellectual property rights, including but not limited to designs, drawings, specifications, and product materials, remain the property of Clarke’s Safety Mirrors Ltd. Customers are not permitted to copy, distribute, or use any intellectual property for commercial purposes without prior written consent from Clarke’s Safety Mirrors Ltd. Unauthorized use of our intellectual property may result in legal action.

  1. Liability

6.1. Maximum Liability

Our maximum liability under these Terms is limited to the price paid by the Customer for the Goods or Services in question.

6.2. Force Majeure

Clarke’s Safety Mirrors Ltd shall not be liable for any failure to perform its obligations due to events beyond its reasonable control, including but not limited to transportation issues, supplier disruptions, acts of God, war, strikes, or governmental restrictions.

6.3. Delivery Liability

Clarke’s Safety Mirrors Ltd accepts no liability for injury or damage incurred during the unloading, installation of its products unless it is caused by one of Clarke’s Safety Mirrors’ employees.

In no circumstances whatsoever shall Clarke’s Safety Mirrors Ltd be liable for any loss whether direct, indirect or consequential due to goods not being delivered by any specified time or date. Delivery times are given in good faith but shall not be binding and may on occasions be affected by circumstances beyond the control of Clarke’s Safety Mirrors Ltd.

  1. Amendments

Clarke’s Safety Mirrors Ltd reserves the right to amend these Terms and Conditions. The customer will be subject to the Terms and Conditions in force at the time that the goods are ordered, unless any change to the Terms and Conditions is required by law.
